Legal Status of TWFS

What exactly is TWFS?

TWFS is a society or club. In legal terms this means that we are simply a collection of members. Unlike a limited company, there is no separate legal entity called TWFS; there is only a (constantly changing) set of individuals who together constitute TWFS.

Is TWFS a charity?

No. It’s just a club.

Why not?

In setting up TWFS we decided to take the simplest and quickest course. Forming and administering a charity is much more complicated.

We also saw no over-riding financial reason for becoming a charity. As we use the Wells Film Centre we have no need to hire or buy assets such as projection equipment; it follows that we have no need to seek funds to do so. If things change, we shall need to re-think.

Does it have a Constitution?

Yes. The Constitution, taking no more than 2 sides of A4, was approved at the society’s AGM on 12 October 2004. It’s based on a model supplied by the BFFS and has been informally reviewed by a solicitor member of TWFS.
